KARMI — TERMS OF SERVICE

Welcome to Karmi — your AI-powered Life Intelligence Companion. These Terms of Service ("Terms") govern your use of Karmi's website, mobile applications, and related services (collectively, the "Services"). By accessing or using the Services you agree to these Terms. If you do not agree, please do not use Karmi.

These Terms form a legal agreement between you ("you", "User") and Karmi AI Technologies FZCO ("Karmi", "we", "us", "our").

You may use Karmi only if you:

• Are at least 16 years old, or meet the minimum age of digital consent in your jurisdiction (whichever is higher); and
• Have the legal capacity to form a binding contract.

If you are under 18 you may use Karmi only with a parent or guardian's consent and supervision. Karmi is not intended for children under the age of digital consent and we do not knowingly collect personal data from such children.

Karmi offers self-reflection, emotional guidance, timing insights and educational astrology learning by blending symbolic astrological logic, productized psychological framing, and AI-generated natural language.

Important limits:

• Karmi does not provide medical, legal, financial, or professional advice.
• Karmi does not provide crisis or emergency services. If you are in crisis, seek immediate professional help.
• Karmi's content is symbolic and interpretive — treat it as guidance for reflection, not definitive fact or prediction.

To use certain features you may create an account and provide information (name, email, birth details, timezone). You agree to:

• Provide accurate information and keep it up to date.
• Keep your credentials secure and promptly notify us of any unauthorized use.
• Be responsible for all activity under your account.

We may suspend or terminate accounts suspected of unauthorized use or fraud.

Your content.

"User Content" means any notes, journal entries, profile data, chat prompts, or other content you submit.

You retain ownership of your User Content.

You grant Karmi a limited, revocable, worldwide license to use your User Content solely to provide, maintain, operate, and improve the Services. That includes: delivering personalized insights to you, storing your content for account access, troubleshooting service issues, enforcing policies, and anonymized/aggregated product analytics.

Model training & research.

For MVP and transparency: Karmi does not use identifiable User Content to train external public AI models. We may use anonymized and aggregated data (which cannot be re-associated to you) to improve product quality and internal models; we will never use personal identifiers for model training without explicit opt-in consent. If we later intend to use identifiable content for additional training, we will provide clear notice and a separate opt-in process.

Your responsibilities.

You represent and warrant that you have all rights to submit User Content and that it does not violate any law or third-party rights. Do not upload or enter malware, illegal content, or content that violates privacy or IP rights.

We may remove content that violates these Terms or is otherwise harmful.

You may only use the Services lawfully, ethically, and respectfully. Prohibited uses include (but are not limited to):

• Illegal activity or content that promotes illegal acts.
• Abusive, hateful, harassing, sexually explicit, or graphically violent content.
• Manipulative or deceptive uses (e.g., subliminal techniques, exploiting minors/disabled persons).
• Generating misinformation/disinformation intended to deceive.
• Attempting to infer or disclose personal data about other individuals (doxxing).
• Biometric profiling, mass surveillance, or real-time facial recognition systems.
• Using the Services to generate content that infers protected characteristics (race, religion, sexual orientation, etc.) for discriminatory decisions.
• Creating social-scoring systems or criminal-profiling tools.
• Attempting to reverse-engineer, decompile, or extract the underlying models, algorithms, or source code.
• Scraping, crawling, or programmatically extracting Outputs or other Service data.
• Bypassing content filters, safety controls, or security measures.

Violation may result in temporary or permanent suspension and other legal remedies.

Early access:

The current MVP is offered free to early testers. When paid tiers launch, payment processing will be handled by trusted third parties (Stripe, Apple, Google). Subscription billing details and cancellation rules will be disclosed in-app.

Refunds:

Fees are generally non-refundable except where required by law or app-store policies. Apple/Google refunds are subject to their policies.

Karmi respects data privacy. We collect only what's necessary (profile, birth data, usage logs, optional reflections). Data is encrypted in transit and at rest.

Your rights:

You may request access, correction, deletion, portability, and restriction of processing where applicable. EU/UK users have GDPR rights; residents of California, Virginia, Colorado, Connecticut, Utah, and similar jurisdictions have rights under local consumer privacy laws. Submit requests to contact@karmi.ai. We aim to respond within 30 days (or as required by law).

Karmi IP.

Karmi and its licensors retain all rights, title and interest in the Services, trademarks, software, and content (except your User Content).

License to use Services.

Subject to your compliance, we grant you a limited, revocable, non-exclusive license to access and use the Services for personal use.

Feedback.

If you provide feedback or suggestions, you grant Karmi a worldwide, royalty-free license to use that feedback without obligation.

Copyright claims (DMCA).

If you believe your copyrighted work has been infringed, email contact@karmi.ai with the required takedown information. Counter-notices may be provided as described in applicable law.

Karmi may integrate with third-party services (calendars, journals, payment processors). Those third parties have their own terms and privacy practices; we are not responsible for them. Use of third-party services is at your own risk.

We may suspend or terminate accounts for violations of these Terms, fraud, legal compliance, or to protect the platform or other users. We will provide notice where feasible. You may delete your account at any time via the app or by contacting contact@karmi.ai.

Surviving provisions:

intellectual property, indemnity, limitation of liability, dispute resolution, and other clauses that by nature survive termination will remain in effect.

To the extent permitted by law, you agree to indemnify and hold Karmi and its officers, directors, employees and agents harmless from any claim, liability, loss, damages, or expenses (including reasonable attorneys' fees) arising from:

• your misuse of the Services;
• your breach of these Terms;
• your User Content; or
• your violation of third-party rights.

To the maximum extent permitted by applicable law, Karmi's total aggregate liability to you for any claim related to the Services will not exceed the amounts you actually paid to Karmi in the 12 months prior to the claim (or USD $100 if you paid nothing). In no event will Karmi be liable for indirect, incidental, special, consequential, or punitive damages (including emotional distress, lost profits, lost data), even if Karmi has been advised of the possibility of such damages. Some jurisdictions may limit these exclusions; they will apply to the fullest extent permitted by law.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND.

Karmi MAKES NO WARRANTIES THAT THE SERVICES WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR THAT OUTPUTS WILL BE ACCURATE OR RELIABLE. TO THE EXTENT PERMITTED BY LAW, ALL IMPLIED WARRANTIES ARE DISCLAIMED.

Informal first.

Contact us at contact@karmi.ai and we will try to resolve disputes informally.

Arbitration & waiver of class actions.

Except where prohibited by law, disputes not resolved informally will be resolved by binding individual arbitration in Dubai under UAE law (or another mutually agreed arbitration forum). You and Karmi each waive the right to a jury trial and to participate in a class or collective action, except where local mandatory consumer protections disallow such waivers.

Opt-out.

If you do not wish to be bound by arbitration, you may opt out by emailing contact@karmi.ai within 30 days of first accepting these Terms. Include your full name, email, and a statement that you opt out of arbitration. Opting out does not affect other parts of these Terms.

Local consumer rights.

Nothing in this Section limits any statutory consumer rights you may enjoy in your jurisdiction.

These Terms are governed by the laws of the United Arab Emirates. Where required by mandatory local law, consumers may bring claims in their local courts. For users outside the UAE, the applicable consumer protections of their jurisdiction shall apply where required.

We may update these Terms occasionally. Material changes will be notified via the app or email. Continued use after notice constitutes acceptance.

Assignment:

You may not assign your rights under these Terms. Karmi may assign its rights.

Severability:

If any provision is invalid, remaining provisions remain effective.

Entire agreement:

These Terms, together with our Privacy Policy and any other referenced policies, form the entire agreement between you and Karmi regarding the Services.
